These Terms of Service ("Terms") govern your access to and use of PropPack.ai ("Platform", "Service", "we", "our", or "us"), a UK-based property information platform. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using PropPack.ai, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use our Service.

These Terms constitute a legally binding agreement between you and PropPack.ai. We reserve the right to modify these Terms at any time, and continued use of the Service constitutes acceptance of updated Terms.

2. Service Description

PropPack.ai provides the following services:

• Property Information Pack (PIP) Generation: Automated compilation of property data from multiple sources including Land Registry, EPC Register, and local authorities
• Property Data Aggregation: Centralized access to property information, transaction history, and compliance documents
• Marketplace Platform: Connection between sellers, buyers, estate agents, and solicitors for property transactions
• Document Management: Secure storage and sharing of property-related documents
• Transaction Facilitation: Tools to streamline property buying and selling processes

3. User Accounts

3.1 Account Registration

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized account access

3.2 Account Types

• Seller Accounts: For property owners generating and sharing PIPs
• Buyer Accounts: For prospective purchasers accessing property information
• Estate Agent Accounts: For property professionals managing listings and transactions
• Solicitor Accounts: For legal professionals handling conveyancing

3.3 Account Responsibilities

You are responsible for all activities that occur under your account. You agree not to share your account credentials or allow unauthorized access to your account.

4. User Obligations

You agree to:

• Provide accurate and truthful property information
• Use the Service only for lawful purposes and in compliance with UK property laws
• Not misrepresent property details or engage in fraudulent activities
• Respect intellectual property rights of PropPack.ai and other users
• Not attempt to gain unauthorized access to our systems or other user accounts
• Not use automated tools (bots, scrapers) without our written permission
• Not interfere with or disrupt the Service or servers

5. Pricing and Payments

5.1 Pricing Structure

• Property Information Packs (PIPs): £150 - £300 per PIP (varies by property complexity and data sources)
• Estate Agent Subscriptions: £50/month for basic access, higher tiers available
• Solicitor Subscriptions: £100 - £200/month based on transaction volume
• Buyer Access: Free to view shared PIPs; premium features available

5.2 Payment Terms

• All payments are processed securely via Stripe
• Prices are in GBP and include applicable VAT
• Payment is due immediately upon purchase or subscription
• We reserve the right to change pricing with 30 days' notice

5.3 Refund Policy

• PIP purchases: Refundable within 7 days if data is materially inaccurate
• Subscriptions: Pro-rated refunds available for annual plans cancelled within 30 days
• No refunds for partial months or unused subscription periods

6. Intellectual Property

6.1 PropPack.ai Ownership

PropPack.ai owns all rights, title, and interest in the Platform, including software, design, trademarks, logos, and proprietary algorithms. You may not copy, modify, distribute, or reverse-engineer any part of our Service.

6.2 User Content

You retain ownership of property data and documents you upload. By using our Service, you grant PropPack.ai a non-exclusive, worldwide license to use, store, and display your content solely to provide the Service.

6.3 Third-Party Data

Property data sourced from Land Registry, EPC Register, and other third parties remains subject to their respective terms and licenses.

7. Data Accuracy Disclaimer

PropPack.ai aggregates property information from multiple third-party sources. While we strive for accuracy, we do not guarantee the completeness, accuracy, or timeliness of all data.

You acknowledge that:

• Property data may contain errors or omissions from source providers
• PIPs are informational tools and not substitutes for professional surveys or legal advice
• You should independently verify critical information before making property decisions
• PropPack.ai is not liable for decisions made based on platform data

8. Limitation of Liability

To the fullest extent permitted by UK law, PropPack.ai shall not be liable for:

• Property transaction outcomes or financial losses
• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Errors or inaccuracies in third-party data sources
• Service interruptions or technical failures

Our total liability for any claim arising from your use of the Service shall not exceed the amount you paid to PropPack.ai in the 12 months preceding the claim.

9. Subscription Terms

9.1 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription rate.

9.2 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds for partial periods.

9.3 Trial Periods

Free trial periods (if offered) automatically convert to paid subscriptions unless cancelled before the trial ends. Payment method authorization required for trials.

10. Prohibited Uses

You may not use PropPack.ai to:

• Engage in fraudulent property transactions or misrepresentation
• Violate UK property laws, money laundering regulations, or data protection laws
• Scrape, harvest, or collect user data without authorization
• Upload malicious code, viruses, or harmful software
• Impersonate other users or entities
• Spam, harass, or abuse other users
• Circumvent security measures or access restrictions
• Use the Service for any illegal or unauthorized purpose

11. Termination

11.1 Termination by User

You may terminate your account at any time by contacting support or using account settings. Upon termination, your access to the Service will cease.

11.2 Termination by PropPack.ai

We reserve the right to suspend or terminate your account immediately if you:

• Violate these Terms or our policies
• Engage in fraudulent or illegal activities
• Fail to pay subscription fees
• Abuse the Service or harm other users

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data in accordance with our data retention policies. Provisions regarding intellectual property, liability, and dispute resolution survive termination.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.2 Arbitration

For disputes under £10,000, parties agree to attempt resolution through good-faith negotiation before pursuing legal action. Mediation or arbitration may be required for certain disputes.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or prominent platform notice at least 30 days before taking effect. Continued use of the Service after changes constitutes acceptance of updated Terms.
